1. Agreement
These Terms form a binding legal agreement between you and Zeitrip. If you use the Services on behalf of an organization, you represent that you have authority to bind that organization, and “you” includes the organization.
1.1. Changes to the Terms
We may update these Terms from time to time. The “Last updated” date shows when the latest changes took effect. If changes are material, we will provide reasonable notice (for example, by posting an in‑product notice or sending an email). By continuing to use the Services after changes become effective, you agree to the updated Terms.
2. Definitions
- “Services” means Zeitrip’s websites, apps, and related services.
- “Account” means the account you create or access to use the Services.
- “User Content” means content you or others provide through the Services (e.g., trip names, notes, itineraries, images).
- “Public Link” means a link that allows access to a trip or itinerary without logging in (where available).
- “Paid Plan” means a subscription or paid tier offered for the Services (if any).
3. Eligibility
You must be at least 13 years old to use the Services (or older where required by local law). If you are under the age of majority in your jurisdiction, you may use the Services only with the consent and supervision of a parent or legal guardian who agrees to these Terms.
4. Accounts & security
4.1. Account creation
You may need an Account to use certain features. You agree to provide accurate information and keep it updated. You are responsible for all activity under your Account.
4.2. Security
You are responsible for maintaining the confidentiality of your credentials and for securing access to devices and networks used to access the Services. Notify us promptly of any unauthorized access or suspected security incident relating to your Account.
4.3. Account administrators (organizations)
If your organization provides you access to the Services (for example, via managed email domains or enterprise arrangements), administrators may be able to access and control your Account in accordance with the organization’s policies.
5. Subscriptions, billing & refunds
Some features may be available under a Paid Plan. The availability and details of plans may vary by region and may change over time.
5.1. Trials and promotions
We may offer free trials or promotional pricing. Unless stated otherwise, trials convert to a paid subscription at the end of the trial period and the payment method on file will be charged, unless you cancel before the trial ends.
5.2. Billing, renewal, and taxes
Paid Plans may renew automatically on a recurring basis (e.g., monthly or annually) until canceled. You authorize us (and our payment processor) to charge your payment method for recurring fees, applicable taxes, and any other charges you authorize. You are responsible for all applicable taxes, duties, and similar governmental assessments, except for taxes on our income.
5.3. Cancellations
You can cancel a Paid Plan at any time. Cancellation takes effect at the end of the current billing period unless stated otherwise. We may provide additional cancellation options in‑product depending on the platform where you subscribed.
5.4. Refunds
Fees are non‑refundable except where required by law or expressly stated in the purchase flow. Where refunds are provided, they may be prorated, may exclude taxes and fees, and may be subject to timing and eligibility constraints.
5.5. Price changes
We may change prices, plan features, or availability. If a price change applies to your subscription, we will provide notice and the change will take effect on your next renewal unless otherwise required by law.
6. The Services
6.1. What Zeitrip provides
Zeitrip is a travel planning and collaboration tool that helps you organize itineraries, events, and trip details, and may offer exports and integrations (for example, calendar syncing) depending on your plan.
6.2. No travel agency; no guarantees
Zeitrip is not a travel agency, tour operator, or booking service. We do not sell travel, issue tickets, or guarantee pricing, availability, visas, entry requirements, safety conditions, or travel outcomes. You are responsible for verifying all travel details with relevant providers and authorities.
6.3. Beta and experimental features
Some features may be labeled “beta”, “preview”, or “experimental”. They may be changed, limited, or removed at any time, may be less reliable, and are provided without any warranties or commitments.
7. User content & collaboration
7.1. Your content
You retain all rights in User Content you submit to the Services. You grant Zeitrip a worldwide, non‑exclusive, royalty‑free license to host, store, process, transmit, display, and otherwise use your User Content solely to provide, secure, and improve the Services and to comply with law.
7.2. Collaborators, roles, and public links
The Services may allow you to invite collaborators and assign roles (such as owner, editor, or viewer) and to generate Public Links for read‑only sharing. You are responsible for (a) choosing collaborators, (b) managing permissions, and (c) understanding that Public Links may be forwarded and accessed by anyone who has the link.
7.3. Templates and sharing
If the Services allow saving or sharing templates, you are responsible for ensuring your template content does not include sensitive or confidential information you do not intend to share. Template exports may be sanitized, but sanitization is not a guarantee.
7.4. Content responsibilities
You represent and warrant that you have all rights necessary to provide User Content to the Services and that your User Content and use of the Services will not violate law or third‑party rights. We do not control and are not responsible for User Content, including content shared by other users.
7.5. Feedback
If you provide feedback, suggestions, or ideas, you grant us a perpetual, irrevocable, worldwide, royalty‑free license to use and incorporate them without restriction or compensation.
8. Acceptable use
You agree not to, and not to help others to:
- Use the Services for illegal activities or to violate any laws or regulations.
- Upload malware, attempt to gain unauthorized access, or interfere with the integrity or performance of the Services.
- Probe, scan, or test the vulnerability of any system or network or breach security or authentication measures.
- Reverse engineer, decompile, disassemble, or attempt to discover source code except where prohibited by law.
- Scrape, crawl, or harvest data from the Services in a way that exceeds reasonable use or violates our technical restrictions.
- Send spam, phish, or engage in harassment, hate speech, or abusive behavior.
- Infringe intellectual property rights or upload content you do not have rights to use.
- Bypass or circumvent access controls, paywalls, usage limits, or plan restrictions.
8.1. Enforcement
We may investigate violations and may suspend or terminate access, remove content, or take other action we deem appropriate, including cooperating with law enforcement, consistent with applicable law.
9. Third‑party services
The Services may integrate with or link to third‑party services (for example, Google authentication or Google Calendar). Your use of third‑party services is governed by their terms and privacy policies. We are not responsible for third‑party services and do not make warranties about them.
10. Intellectual property
The Services, including software, design, text, graphics, logos, and trademarks, are owned by Zeitrip or its licensors and are protected by intellectual property laws. Except for the limited rights expressly granted to you, we reserve all rights, title, and interest in and to the Services.
10.1. Limited license
Subject to these Terms, we grant you a limited, non‑exclusive, non‑transferable, revocable license to access and use the Services for your internal purposes.
11. Privacy
Our Privacy Policy describes how we collect, use, and share Personal Data. By using the Services, you acknowledge and agree that your Personal Data will be handled as described in our Privacy Policy at /privacy.
12. Availability & changes
12.1. Availability
We aim to keep the Services available, but we do not guarantee uninterrupted operation. The Services may be affected by maintenance, upgrades, outages, or circumstances beyond our control.
12.2. Changes
We may modify, suspend, or discontinue parts of the Services at any time, including features, content, and integrations. If you are on a Paid Plan and a change materially reduces core paid functionality, we will provide notice as required by law or as otherwise described in these Terms.
13. Suspension & termination
13.1. Termination by you
You may stop using the Services at any time. You may request account deletion via available in‑product controls or by contacting support.
13.2. Suspension or termination by us
We may suspend or terminate your access to the Services if we believe you have violated these Terms, if your use poses a risk to the Services or other users, or if required by law. Where appropriate, we may provide notice and an opportunity to cure, but we may act immediately in urgent cases.
13.3. Effect of termination
Upon termination, your right to use the Services stops. Some provisions of these Terms will survive termination, including intellectual property, disclaimers, limitation of liability, indemnity, and dispute resolution.
14. Disclaimers
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE”. TO THE MAXIMUM EXTENT PERMITTED BY LAW, Zeitrip DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON‑INFRINGEMENT, AND THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR‑FREE, OR SECURE.
14.1. Travel‑related disclaimers
Trip information may be incomplete, outdated, or incorrect. You are responsible for verifying all travel details (times, locations, requirements, and safety guidance) with official sources and providers.
15. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, Zeitrip WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO THE SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, Zeitrip’S TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO US FOR THE SERVICES IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR (B) USD $100.
Some jurisdictions do not allow the exclusion of certain warranties or the limitation of certain damages. In those jurisdictions, our liability is limited to the maximum extent permitted by law.
16. Indemnification
You agree to defend, indemnify, and hold harmless Zeitrip and its affiliates, officers, directors, employees, and agents from and against any claims, damages, liabilities, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use of the Services; (b) your User Content; (c) your violation of these Terms; or (d) your violation of any law or third‑party rights.
17. Dispute resolution & governing law
17.1. Informal resolution
Before filing a claim, you agree to contact us at legal@zeitrip.com and attempt to resolve the dispute informally.
17.2. Governing law
These Terms are governed by the laws of Switzerland, excluding its conflict of laws principles.
17.3. Venue
Except where prohibited by law, you agree that any dispute that is not subject to arbitration will be brought exclusively in the courts located in Zurich, Switzerland, and you consent to personal jurisdiction there.
18. Copyright & trademark
18.1. Copyright complaints (DMCA)
If you believe content on the Services infringes your copyright, send a notice to legal@zeitrip.com with sufficient detail to identify the allegedly infringing material and your contact information. We may remove content and may terminate repeat infringers where appropriate.
18.2. Trademarks
Zeitrip and related logos are trademarks of Zeitrip. You may not use our trademarks without our prior written permission.
19. Export controls
You may not use, export, re‑export, or transfer the Services except as authorized by U.S. law, the laws of the jurisdiction where you use the Services, and other applicable laws. You represent that you are not (a) located in a country subject to a U.S. government embargo, (b) designated on any restricted party list, or (c) otherwise prohibited from receiving the Services.
20. Miscellaneous
20.1. Assignment
You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, reorganization, or sale of assets.
20.2. Severability
If any provision is found unenforceable, the remaining provisions will remain in effect.
20.3. No waiver
Our failure to enforce any right or provision is not a waiver of that right or provision.
20.4. Entire agreement
These Terms (and any policies referenced in them) are the entire agreement between you and Zeitrip regarding the Services and supersede prior agreements.
